COMMISSION AGENT AGREEMENT

This Agreement is made and entered into as of [Date], by and between:

Principal:
Shenzhen Hafnium Technology Co., Ltd., a company organized under the laws of China, with its principal office at [Company Address] (hereinafter referred to as the “Principal”).

Agent:
[Agent’s Full Name / Company Name], located at [Agent’s Address] (hereinafter referred to as the “Agent”).

1. Appointment

The Principal hereby appoints the Agent as its non-exclusive commission agent to promote and facilitate sales of the following products within the assigned territory:

Territory:
Russia, Middle East, Africa, Americas (North, Central, and South America)

Products:

  • CNC Plasma Cutting Machines

  • Plasma Torches

  • Plasma Cutting Consumables (e.g., electrodes, nozzles, shields)

  • Welding Machines and Accessories

2. Duties and Responsibilities of the Agent

The Agent agrees to:

  • Identify and introduce potential customers to the Principal.

  • Promote the Principal’s products in the Territory using reasonable commercial efforts.

  • Assist with customer communication, quotations, and order tracking.

  • Not conclude any contracts or collect payments on behalf of the Principal without written authorization.

  • Maintain confidentiality of all commercial and technical information.

  • Keep the Principal informed of relevant market intelligence.

3. Commission Terms

  • The Agent shall receive a sales commission of 3% to 10%, depending on the product line, order value, and level of involvement. The specific rate will be agreed case by case in writing.

  • Commission will be calculated based on the net invoice value (excluding VAT, duties, shipping, and other charges).

  • Commission shall be paid within 30 days after the Principal receives full payment from the customer.

  • No commission shall be due for sales not influenced by the Agent.

4. Term and Termination

  • This Agreement shall remain in force for a period of two (2) years from the date of signing, and automatically renew for additional one-year periods unless either party gives 30 days written notice prior to the end of the term.

  • Either party may terminate this Agreement immediately in the event of a breach or mutual agreement.

5. Independent Relationship

  • The Agent shall act as an independent contractor and shall not be considered an employee, partner, or legal representative of the Principal.

  • The Agent shall not have the authority to bind the Principal in any way.

6. Governing Law and Jurisdiction

This Agreement shall be governed by and interpreted under the laws of the People’s Republic of China.
Any disputes shall be resolved in the courts of Shenzhen, China.

7. Entire Agreement

This Agreement constitutes the entire agreement between the parties and supersedes all prior communications and agreements, whether oral or written.
